The Corporate Apparel Unlimited, Inc. team appreciates your interest in shopping
online at CAU. Prior to completing your order please read the terms and conditions
that govern your use of the site. By using this site and shopping on it you agree
to follow these terms.
Corporate Apparel Unlimited, Inc. [CAU] reserves the right to change the terms
and conditions governing your use of this site, as deemed necessary. By using the
site you also agree to follow the terms and conditions set forth by those changes.
CAU may add to, delete, change or move any portion of the site including but not
limited to content, as well as equipment or software needed to access this site.
Any changes or modifications to the site are effective immediately upon notice thereof,
as published and/or posted on the site.
Market Focus and Order Minimum. CAU serves clientele
in the categories of: business firms, governmental organizations, not-for-profit
organizations, community organizations, professional and trade associations, resellers
and brokers. This includes departments or divisions of any such organization. With
this focus, the pricing structure and related order-entry aspects of the Corporate
Apparel Unlimited, Inc. site require that sales be of a reasonable volume -
i.e., greater than just one or a small number of items. As posted throughout the
site, the minimum order is $50 or 25 pieces, whichever occurs first. If this minimum
is not met, CAU reserves the right to refuse an order. And, if an online order has
already been placed, a credit will then be made to the individual's account.
Order Cancellations. After an order has been
submitted and confirmed with payment [or arrangements for payment], whether online
or by telephone order, and once shipment has been made from any of the warehouse
affiliates of CAU, cancellation of that order - in part or in whole - will result
in a 15 percent re-stocking charge. The client's credit card or account will in
turn be credited with the balance, i.e., 85 percent of the cost of their order.
Return shipment will be at client's expense. An exception to this policy will be
granted if cancellation is made as a result of the garments/accessories being defective
or damaged, or if the incorrect garments/accessories were shipped.
Accuracy of colors. CAU has displayed as accurately
as possible - given the range of "web-safe" color choices available --
the color choices of all garments displayed on the site. Given the differences in
monitor screens and other associated technology, however, no guarantee can be made
that the user's monitor display of a color or graphic will be "true" or
accurate with respect to the actual "finished" garment. The colors shown
on the site are for reference only, as an approximation to reality. CAU assumes
no liability whatsoever as a result of any variances between the appearance of colors
and/or graphics displayed on the user's monitor and the finished product purchased
by the user-client from CAU, i.e., liability arising from damages, return of merchandise
for credit or otherwise.
Computer Equipment and Services. The user and/or
client is responsible for, and must provide, all computer, telephone and other equipment
and services necessary to access the CAU website. In addition, the user-client is
responsible for any access charges incurred through online services, telephone companies
or Internet Service Providers used in obtaining access to the site.
Property Rights. All materials including images,
illustrations, designs, icons, photographs, written and other materials that are
part of the site are copyrights, trademarks, trade dress and/or intellectual properties
owned, controlled or licensed by CAU or one of its national suppliers unless otherwise
stated. The site is protected by trademark and trade dress, and all worldwide rights,
titles and interests in and to which are owned by CAU.
All other trademarks, product names and images, and company names or logos appearing
on the site are the property of their respective owners. Any such use of these,
including the reproduction, modification, distribution or republication of same
without the prior written permission of CAU is prohibited.
The content and graphics on this site may be downloaded or copied for review or
inspection purposes only. No right, title or interest in any such materials or software
is transferred to the user or client as a result of such downloading or copying.
The user or client may not reproduce, publish, transmit, distribute, display, modify,
or create derivative works from, sell or participate in any sale of, or exploit
in any way - in whole or in part - materials on the CAU website, without prior written
permission from a principal of CAU.
Right to Use Trademarks. The site user represents
and warrants to CAU that he/she has the right to use, copy and distribute each trademark,
trade name, logo, statement, graphic, artwork, name, photograph, portrait, picture
or illusion of any person or any other intellectual property in the way it is to
printed on or otherwise applied to the products ordered by the user or client from
CAU. The user/client warrants that, in obtaining the material and submitting it
to CAU for reproduction, he/she has not violated the property rights of a third
party. The user/client further agrees to indemnify and hold harmless CAU and its
owners, officers, employees and agents from any suit, demand, claim, loss, liability,
damage or expense made against CAU by reason of breach of this warranty, and also
agrees to pay any judgment or settlement offer resulting from any suit, demand,
or claim and to pay any attorney's fees incurred by CAU in defending against any
such suit, demand or claim.
The burden of determining that any material is not protected by trademark or other
proprietary right rests with the user/client. The user/client is solely responsible
for obtaining proper permissions and licenses, except as may be permitted by copyright
law, from third parties whose rights may be violated or infringed upon by the use
of any material protected by trademark, service mark, copyright or other proprietary
rights. A client may not use any logo or other graphic material in a manner which
may infringe upon copyright, trademark, service mark or other proprietary mark.
A client also may not use any logo or trademark in a vulgar, libelous, disparaging
or otherwise unlawful manner. CAU assumes no responsibility for damages or any wrongdoing
that the client may cause using a logo, trademark or copyrighted item. The client
further agrees to indemnify and hold CAU harmless from and against any suit, demand,
claim, loss, liability, damage or expense made against or incurred by CAU by reason
of the unauthorized, improper, or illegal use of any logo or trademark or copyright
that is printed on or otherwise applied to merchandise ordered or purchased by the
client through CAU.
Privacy. Users of any CAU Web site acknowledge
that they may provide to CAU information regarding themselves or their firms/organizations
including personal and organizational name, physical address and email address.
CAU is committed to protecting the privacy of site users and clients, as well as
information collected about the user/user's organization. All such information collected
will not be used outside CAU without the user's/client's notification and permission.
CAU does not buy, sell, rent, lease, hock, barter, donate, or share email addresses
and other information in any way.
Security. CAU utilizes Secure Sockets Layer
(SSL) technology with 128-bit encryption* to protect the security of personal information
during transmission. Users of the site are responsible for maintaining the confidentiality
of their account(s) and password(s) and for restricting access to their computer.
Users are also responsible for assuring that their browser supports SSL transactions.
One must be at least 18 years of age to purchase products on the CAU site. Anyone
under 18 must have the permission and accompaniment of an adult.
Legal Compliance. Use of this site shall be
for lawful purposes only. No material shall be transmitted through Corporate Apparel
Unlimited that violates or infringes upon the rights of others, which is unlawful,
threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar,
obscene, profane or otherwise objectionable which encourages conduct that would
constitute a criminal offence, give rise to civil liability or otherwise violate
any law. CAU reserves the right, in its sole discretion, to refuse to produce goods
and/or to terminate a user's access to CAU for any breach of this provision or any
other provision of these Terms of Use.
Warranty and Disclaimer of Liability. The user
acknowledges that use of this site is at his/her sole risk. The site is not warranted
to be error free or uninterrupted; hence, there is no warranty as to the results
obtained through used of the site. This site and all its contents are provided on
an "as is" basis without warranties of any kind, either express or implied,
including without- limitation Warranties of Title or implied Warranties of Merchantability
or Fitness for a Particular Purpose. The user acknowledges, by his/her use of the
site, that site usage is at his/her own risk, that the user assumes full responsibility
for all costs associated with all necessary servicing or repairs of any equipment
used in connection with use of the site, and that CAU shall not be liable for any
damages of any kind related to the user's use of the site.
CAU liability to the user, if any, shall not exceed the total of the invoice for
products and services provided on the transaction or dispute. CAU shall not be liable
for indirect, incidental, consequential, reliance or special damages for harm to
business, lost profits, lost savings or lost revenues, whether or not CAU has been
advised of the possibility of such damages. CAU shall not be liable for any damage
that the client/user may suffer arising out use, or inability to use, the products
and services provided hereunder unless such damage caused is an intentional act
of CAU. The company shall not be liable for unauthorized access by third parties
to the user's transmission facilities, premises or equipment or for unauthorized
access to or alteration, theft, loss or destruction of user's network, systems,
applications, data files, programs, procedures, or information through accident,
fraudulent means or devices, or any other method. These limitations of liability
shall apply regardless of the form of action, whether in contract, warranty, strict
liability or tort, and shall survive failure of an exclusive remedy. The provisions
of this paragraph will survive any sale completed with the client and any change
or elimination of these Terms of Service and or any CAU website.
This and related CAU Web sites were created and are controlled by Corporate
Apparel Unlimited, Inc., of Luxemburg, Wisconsin. The laws of the State of Wisconsin
will govern all terms, conditions and disclaimers on the site, including these Terms
of Use, without giving effect to any principles of conflicts of laws.

of certain Web browsers, as well as Web browsers produced for foreign distribution,
